Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Dember AI platform ("Service"), operated by DEMBER LLC ("Company", "we", "us", or "our"), a Wyoming limited liability company.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Dember AI is an AI-powered business intelligence platform that allows you to connect data sources, query your data using natural language, and build dashboards and visualizations.

2. Accounts

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to use the Service.
  • One person or legal entity may maintain no more than one free account.

3. Organizations & Teams

You may create organizations and invite team members. The organization owner is responsible for managing access, billing, and ensuring all members comply with these Terms.

4. Subscriptions & Billing

  • Paid plans are billed monthly in advance via Stripe.
  • Each plan includes a monthly credit allowance. Credits reset at the start of each billing cycle and do not roll over.
  • Top-up credits are non-refundable and do not expire.
  • You may cancel your subscription at any time. Access continues until the end of the current billing period.
  • We reserve the right to change pricing with 30 days' notice.

5. Free Trial

New accounts receive a 7-day free trial with a limited credit allowance. No credit card is required. When the trial ends, you must subscribe to a paid plan to continue using the Service.

6. Acceptable Use

You agree not to:

  • Use the Service to violate any law or regulation.
  • Attempt to gain unauthorized access to other users' data or accounts.
  • Reverse-engineer, decompile, or disassemble the Service.
  • Use the Service to transmit malware, spam, or harmful content.
  • Resell or redistribute the Service without written permission.
  • Use automated means (bots, scrapers) to access the Service beyond the provided API.

7. Your Data

  • You retain all ownership of the data you connect to or upload to the Service.
  • We access your data solely to provide the Service (e.g., running queries, generating visualizations).
  • Database connections are read-only. We do not modify your source databases.
  • You may delete your data and account at any time. Upon deletion, we will remove your data from our systems within 30 days.

8. AI-Generated Content

The Service uses artificial intelligence to generate SQL queries, charts, and insights. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and validating any outputs before making business decisions based on them.

9. Intellectual Property

The Service, including its code, design, and documentation, is owned by DEMBER LLC and protected by copyright and other intellectual property laws. These Terms do not grant you any rights to our trademarks or brand assets.

10. Availability & Support

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice. Support is provided via email.

11. Limitation of Liability

To the maximum extent permitted by law, DEMBER LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Termination

We may suspend or terminate your account if you violate these Terms. You may terminate your account at any time through your account settings. Sections that by their nature should survive termination will survive (including liability, indemnity, and dispute resolution).

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
